Welcome to The Nigerian Community ("The Nigerian Community," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, services, content, communications, and related features (collectively, the "Platform"). By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Platform.
Important Notice Regarding Fraud, User Transactions, Liability Limitations, and Binding Arbitration
Please read these Terms carefully before using The Nigerian Community Platform.
THE NIGERIAN COMMUNITY IS A COMMUNITY NETWORKING PLATFORM ONLY. THE NIGERIAN COMMUNITY DOES NOT VERIFY, ENDORSE, GUARANTEE, INVESTIGATE, INSURE, OR WARRANT THE IDENTITY, LEGITIMACY, HONESTY, QUALIFICATIONS, LICENSING, BUSINESS STATUS, FINANCIAL CONDITION, PRODUCTS, SERVICES, REPRESENTATIONS, OR CONDUCT OF ANY MEMBER, BUSINESS, ORGANIZATION, ADVERTISER, SELLER, BUYER, SERVICE PROVIDER, OR OTHER USER OF THE PLATFORM.
ANY TRANSACTION, COMMUNICATION, CONTRACT, PAYMENT, DONATION, INVESTMENT, EMPLOYMENT OPPORTUNITY, BUSINESS ARRANGEMENT, OR OTHER INTERACTION ENTERED INTO THROUGH THE PLATFORM IS SOLELY AT YOUR OWN RISK.
THE NIGERIAN COMMUNITY EXPRESSLY DISCLAIMS RESPONSIBILITY FOR FRAUD, MISREPRESENTATION, SCAMS, DECEPTIVE BUSINESS PRACTICES, IDENTITY THEFT, FINANCIAL LOSSES, NON-DELIVERY OF GOODS OR SERVICES, UNAUTHORIZED TRANSACTIONS, CRIMINAL CONDUCT, OR ANY OTHER HARM CAUSED BY USERS OR THIRD PARTIES.
BY USING THE PLATFORM, YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR CONDUCTING YOUR OWN DUE DILIGENCE BEFORE ENGAGING WITH ANY INDIVIDUAL, BUSINESS, ORGANIZATION, OR OTHER USER.
IF YOU ARE A RESIDENT OF THE UNITED STATES, THESE TERMS INCLUDE A MANDATORY ARBITRATION AGREEMENT, CLASS ACTION WAIVER, LIMITATION OF LIABILITY, AND RELEASE OF CLAIMS AGAINST THE NIGERIAN COMMUNITY. BY USING THE PLATFORM, YOU AGREE TO BE BOUND BY THOSE PROVISIONS.
The Nigerian Community provides an online platform designed to facilitate community engagement, networking, information sharing, business visibility, cultural connections, events, announcements, discussions, and communications among members and visitors (collectively, the “Services”).
The Nigerian Community operates solely as a technology platform that enables users to communicate and interact with one another. We are not a broker, agent, representative, employer, recruiter, financial institution, escrow provider, payment processor, marketplace operator, contractor, guarantor, insurer, or fiduciary for any user, business, organization, advertiser, or third party.
The Nigerian Community does not participate in, supervise, control, monitor, guarantee, or assume responsibility for any transaction or interaction between users.
Users are solely responsible for:
- Verifying the identity of any individual or business they interact with;
- Confirming licenses, certifications, registrations, and qualifications where applicable;
- Conducting independent background checks and due diligence;
- Inspecting goods, services, and products before purchase;
- Verifying ownership and authority to sell goods or provide services;
- Confirming payment arrangements and delivery terms;
- Protecting their own personal, financial, and confidential information; and
- Evaluating all risks associated with any transaction or relationship initiated through the Platform.
The Nigerian Community expressly warns users that online fraud, scams, phishing schemes, impersonation, counterfeit products, deceptive business practices, investment fraud, employment scams, advance-fee schemes, and other forms of misconduct may occur on any internet-based platform. Accordingly, users should exercise extreme caution when communicating with unknown individuals or businesses and should never rely solely upon information posted on the Platform when making financial, business, legal, employment, investment, charitable, or personal decisions.
The Nigerian Community is committed to promoting a safe and trustworthy environment; however, no screening, moderation, verification process, technology, or security measure can guarantee that all users are legitimate, truthful, qualified, or acting in good faith.
The Nigerian Community does not guarantee:
- The identity of any user;
- The accuracy of any profile or listing;
- The legitimacy of any business;
- The quality or safety of any product or service;
- The truthfulness of any representation made by a user;
- The completion of any transaction;
- The collection or payment of funds;
- The performance of any contractual obligation; or
- The prevention of fraudulent activity.
Users acknowledge that criminals, fraudsters, impersonators, scammers, and bad actors may attempt to misuse the Platform.
You agree that before sending money, sharing personal information, entering into contracts, hiring service providers, purchasing products, making donations, accepting employment opportunities, participating in investments, or otherwise engaging with another user, you will independently verify all material facts and assume full responsibility for your decisions. The Nigerian Community shall have no duty to investigate, mediate, recover funds, enforce agreements, resolve payment disputes, or compensate users for losses arising from interactions with other users.
The Nigerian Community is not a party to any transaction, communication, agreement, dispute, contract, business relationship, donation, investment, employment arrangement, purchase, sale, or exchange occurring between users.
To the fullest extent permitted by law, The Nigerian Community shall not be liable for:
- Fraud or fraudulent inducement;
- Identity theft;
- Misrepresentation;
- Breach of contract;
- Negligence of third parties;
- Theft or conversion of funds;
- Non-payment or non-delivery;
- Defective products;
- Professional malpractice;
- Personal injury;
- Property damage;
- Financial losses;
- Lost profits;
- Reputational harm;
- Data theft;
- Cybersecurity incidents caused by third parties; or
- Any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from user interactions.
You expressly release, waive, and discharge The Nigerian Community and its owners, officers, directors, employees, contractors, affiliates, agents, representatives, successors, and assigns from any and all claims, demands, liabilities, causes of action, losses, damages, costs, and expenses arising from or related to interactions with other users or third parties.
This release applies whether such claims are known or unknown, suspected or unsuspected, disclosed or undisclosed, foreseeable or unforeseeable.
To use the Platform, you must:
- Be at least thirteen (13) years of age or the minimum legal age required in your jurisdiction;
- Have the legal capacity to enter into a binding agreement; and
- Comply with all applicable laws and regulations.
If you are using the Platform on behalf of an organization, business, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.
You may be required to create an account to access certain features of the Platform. You agree to:
- Provide accurate, complete, and current information;
- Maintain and promptly update your account information;
- Safeguard your login credentials and account access;
- Notify us immediately of any unauthorized use of your account or suspected security breach.
You are solely responsible for all activities conducted through your account, whether authorized by you or not.
We reserve the right to suspend, restrict, or terminate any account at our sole discretion, including where we suspect fraud, abuse, unauthorized activity, misrepresentation, or violations of these Terms.
You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms. You may not:
- Violate any local, state, federal, or international laws;
- Post, distribute, or promote fraudulent, deceptive, misleading, or illegal content;
- Impersonate any person, organization, or business;
- Harass, threaten, intimidate, or exploit other users;
- Transmit malware, viruses, spyware, or other harmful code;
- Engage in phishing, identity theft, financial scams, or deceptive business practices;
- Attempt to gain unauthorized access to systems, data, accounts, or networks;
- Use automated systems to scrape, harvest, or collect user information without authorization;
- Interfere with the security, functionality, or operation of the Platform.
Any violation may result in immediate account suspension, termination, and referral to law enforcement authorities where appropriate.
The Nigerian Community serves as a community platform that may allow users, businesses, organizations, advertisers, sponsors, vendors, and other third parties to interact, communicate, advertise, promote services, or conduct transactions.
(a) No Endorsement
The presence of any individual, business, service provider, advertiser, sponsor, vendor, product, or opportunity on the Platform does not constitute our endorsement, verification, certification, recommendation, guarantee, or approval.
(b) User Responsibility
- You are solely responsible for conducting your own due diligence before engaging with any person, business, organization, advertiser, sponsor, vendor, or service provider found through the Platform.
- You assume all risks associated with online and offline interactions, communications, transactions, purchases, investments, donations, contracts, services, or business relationships arising from your use of the Platform.
- We do not verify the identity, qualifications, licensing, credentials, legitimacy, solvency, reputation, or business practices of users or third parties.
(c) No Liability for Fraud
To the fullest extent permitted by law, The Nigerian Community shall not be liable for:
- Fraudulent schemes or misrepresentations;
- Fake businesses, fake profiles, or impersonation;
- Financial losses;
- Investment losses;
- Unauthorized transactions;
- Breach of contract by third parties;
- Defective products or services;
- Identity theft;
- Cybercrime;
- Data theft by third parties;
- Any damages arising from interactions between users and third parties.
Users are strongly encouraged to independently verify all information and exercise caution before sending money, sharing personal information, signing contracts, or entering into business arrangements.
(d) Reporting Fraud
If you suspect fraudulent activity, you should immediately discontinue communication with the suspected party and report the matter to us. While we may investigate reported misconduct, we are under no obligation to resolve disputes or recover losses.
You retain ownership of content that you submit, post, upload, publish, or share through the Platform (“User Content”).
By submitting User Content, you grant The Nigerian Community a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, reproduce, distribute, modify, display, publish, and promote such content in connection with operating, improving, marketing, and providing the Platform.
You represent and warrant that:
- You own or control all rights necessary to submit the content;
- Your content does not violate any law or third-party rights;
- Your content is not fraudulent, defamatory, misleading, or deceptive.
We reserve the right, but not the obligation, to review, remove, edit, restrict, or disable access to User Content at our sole discretion.
Certain features may require payment. By purchasing a membership or paid service, you agree that:
- Fees, billing terms, renewal terms, and benefits will be disclosed before purchase;
- Payments are processed by independent third-party payment processors;
- Memberships may automatically renew unless canceled;
- You authorize recurring charges where applicable;
- Refunds, if offered, are governed by the applicable refund policy.
We reserve the right to modify pricing, features, benefits, or membership structures at any time.
All Platform content, excluding User Content, including trademarks, logos, branding, software, designs, graphics, text, databases, and other proprietary materials are owned by or licensed to The Nigerian Community and are protected by applicable intellectual property laws.
No content may be copied, reproduced, distributed, modified, or exploited without prior written consent.
While we implement reasonable security measures designed to protect the Platform, no system is completely secure. You acknowledge that:
- Internet communications may be vulnerable to interception;
- Unauthorized access may occur despite security measures;
- We cannot guarantee absolute security of data or communications.
You are responsible for maintaining the security of your own devices, passwords, and online activities.
THE PLATFORM IS PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- SECURITY;
- ACCURACY;
- RELIABILITY;
- AVAILABILITY;
- TITLE.
WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE NIGERIAN COMMUNITY, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY:
- INDIRECT DAMAGES;
- INCIDENTAL DAMAGES;
- SPECIAL DAMAGES;
- CONSEQUENTIAL DAMAGES;
- EXEMPLARY DAMAGES;
- PUNITIVE DAMAGES;
- LOSS OF PROFITS;
- LOSS OF REVENUE;
- LOSS OF BUSINESS OPPORTUNITIES;
- LOSS OF DATA;
- REPUTATIONAL HARM;
- FINANCIAL LOSSES;
- LOSSES RESULTING FROM FRAUD, SCAMS, OR THIRD-PARTY MISCONDUCT.
THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to defend, indemnify, and hold harmless The Nigerian Community and its affiliates, officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, costs, expenses, and legal fees arising out of:
- Your use of the Platform;
- Your User Content;
- Your violation of these Terms;
- Your interactions with third parties;
- Your violation of any law or third-party rights.
We may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, for any reason, including suspected fraud, abuse, security concerns, violations of these Terms, or legal requirements.
Termination does not limit any rights or remedies available to us under the law.
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction designated by The Nigerian Community, without regard to conflict-of-law principles.
We reserve the right to modify these Terms at any time.
Updated Terms will be posted on the Platform with a revised effective date. Continued use of the Platform after any changes become effective constitutes acceptance of the revised Terms.
